The following terms and conditions govern your use of this website and services offered by V-Work Sdn Bhd under the service brand (‘WeManage’). Please read them carefully before using and accessing this website.
These terms and conditions may be revised without prior notice from time to time.
1. Acceptance of Terms and Conditions
- 1.1. By continuing to browse and use this website, you are automatically agreeing to comply with and be bound by the following terms and conditions of use (which term shall include guidelines and rules which WeManage may post from time to time), which together with our privacy policy, govern WeManage’s relationship with you concerning this website. Please do not use our website and mobile services if you disagree with these terms and conditions.
- 1.2. You agree that WeManage may modify, revise, and amend the terms and conditions and/or suspend or terminate the website without prior notice. By continuing to use the website, you are deemed to have agreed to be bound by any modifications and amendments to these terms and conditions.
- 1.3. Owing to the global nature of the Internet infrastructure and Software as a Service, the information you provide may be transferred and kept in transit or safekeeping in other countries. You are deemed to have consented to these transfers by submitting your information.
- 1.4. This website contains material owned by or licensed to WeManage.
- 1.5. The material includes, but is not limited to, the design, layout, look, appearance, and graphics. Reproduction is prohibited.
- 1.6. You agree to allow WeManage to communicate with you via various media channels occasionally. Media channels here refer to, but are not limited to, short messaging services, multimedia messaging services, Facebook, e-mails, Twitter, Instagram, and instant messaging.
2. Registration
- 2.1. To register, you must provide the information required in the registration form. You are required to create your unique User ID and Password to allow you to access your information. When choosing your own User ID and personal password, you must not use words that are obscene, abusive, or likely to offend.
- 2.2. You are responsible for maintaining the confidentiality of the User ID and password, and fully responsible for all activities that occur under your User ID and password, whether or not actually or expressly authorized and/or used by you.
- 2.3. Your account is to be used by a single user only, and you will not allow simultaneous access using the same Access Information.
- 2.4. The website is provided on an "as is" basis. Although every effort has been made to provide accurate information on these pages, neither WeManage, nor any of its employees or other users make any warranty, expressed or implied, or assume any legal liability (to the extent permitted by law) or responsibility for the suitability, reliability, timeliness, accuracy or completeness of the information posted on the website. Information on the website may contain technical inaccuracies or typographical errors. Information may be changed or updated without notice. WeManage may also make improvements and/or changes to the websites at any time without notice.

2.5. You agree to:
- 2.5.1. provide true, accurate, current, and complete information about yourself as prompted by the registration form; and
- 2.5.2. maintain and promptly update such registration data to keep it accurate, current, and complete.
- 2.6. The website may not be available to all devices that connect to the Internet. You assume all responsibility regarding the end-user equipment and software necessary to access the website and accept all associated risks.
- 2.7. The website may not be accessible from all regions, states, and countries of the world. WeManage reserves the right, in its sole discretion, to limit or terminate your ability to access the website from certain regions, states, or countries, and you assume all risk associated with the accessibility of the website from any given region or country of the world.
- 2.8. Your use of this website and any dispute arising out of such use of the website is subject to the local (Malaysia), regional, and international laws.
- 2.9. WeManage reserves the right to limit or prohibit your entry into its website at its sole discretion and shall not be liable for it.
- 2.10. Any application form, either softcopy or hardcopy, to WeManage, payment gateway, or bank (if any) will not be returned. Any application or fees paid to the payment gateway service provider and associate bank are subject to the rules and regulations depicted in the application forms.
3. Usage
- 3.1. You agree to use the website only for lawful purposes and in accordance with these terms and conditions.
- 3.2. You agree to notify WeManage immediately of any unauthorised use or security breach. WeManage cannot and will not be liable for any loss or damage arising from your failure to comply with this provision.
- 3.3. You should not assign and/or release your password to any third party. Any passwords created should be for your personal use only.

3.4. You may not allow any other person to:
- 3.4.1. resell, timeshare, sublicense, or otherwise transfer all or any portion of the website to any other party; or
- 3.4.2. make commercial use of the website or any part of the contents without the express written consent of WeManage.
- 3.5. You agree to abide by all applicable local, state, national, and international laws and regulations. You are solely responsible for all acts or omissions under your usage, including the content of your communication through the website. Recognizing the global nature of the Internet, you agree to comply with all local rules regarding online conduct. Specifically, you agree to abide by all applicable laws regarding online communication in the country in which you reside.
- 3.6. You may not use the website in any manner that could damage, disable, overburden, or impair the website (or the network(s) connected to it) or interfere with any other party's use and enjoyment of the website.
- 3.7. You may not hack into, make excessive traffic demands, deliver or forward chain letters, "junk mail" or "spam" of any kind, surveys, contests, pyramid schemes or otherwise engage in any other behaviour intended to inhibit other users from using and enjoying the websites which is likely to damage or destroy WeManage's reputation or disrupt the usage and enjoyment of other users.
- 3.8. You may not circumvent user authentication or security of any host, network or account (referred to as "cracking" or "hacking") nor interfere with service to any user, host or network (referred to as "denial of service attacks") nor copy any pages or register identical keywords with search engines to mislead other users into thinking that they are reading WeManage's legitimate web pages (referred to as "page-jacking") or use the website for any other unlawful or objectionable conduct. Users who violate systems or network security may incur criminal or civil liability, and WeManage will, at its absolute discretion, fully cooperate with investigations of suspected criminal violations, violations of systems or network security under the leadership of law enforcement or relevant authorities.
- 3.9. You will not post or transmit through the website any defamatory, harmful, obscene, threatening, pornographic, racist, menacing, offensive, crude, sexist, vulgar or otherwise illegal material or material which would violate or infringe in any way upon our rights or those of others (including intellectual property rights, rights of confidentiality, or rights of privacy) or cause distress or inconvenience. Always treat other users with respect.
- 3.10. You may establish a link or "deep link" to the website from your site, provided that you have obtained WeManage's prior written consent and that, in WeManage's sole discretion, the context is relevant, and the link or its description is not detrimental to WeManage.
- 3.11. You will not broadcast, copy, download, reproduce, republish, or transmit any material on the website in any manner whatsoever except as strictly necessary for your own personal, non-commercial home use.

3.12. Any redistribution or reproduction of part or all of the contents in any form is prohibited other than the following:
- 3.12.1. You may print or download to a local hard disk or any local storage device extracts for your personal and non-commercial use only; AND
- 3.12.2. You may copy the content for personal consumption, not commercial use.
- 3.12.3. However, you are permitted to share published information on the website to any social media in good will.
- 3.13. You may not distribute or commercially exploit the content except with our express written permission. Nor may you transmit it or store it in any other website or electronic retrieval system.
- 3.14. You will not do anything that affects the website's operability or security or causes unreasonable inconvenience, offence, or disruption to our staff.
- 3.15. If WeManage instructs you to do so, you must sign an acknowledgement and acceptance of the terms and conditions.
4. Tender Fees
- 4.1. WeManage is the appointed medium to receive Tender Fees (if any) for Customers who subscribe to WeManage online services.
- 4.1.1. A 5% online payment processing fee is imposed.
- 4.2. By default, the accumulated tender fees, after deducting the online payment processing charge, will be applied towards the plan renewal. No interest or dividend will be payable on any positive balance in the customer’s account.

4.3. Withdrawal option:
- 4.3.1. The customer can opt for withdrawal of any positive credit in the customer’s account.
- 4.3.2. The customer shall submit an email request with the company’s bank information in Malaysia for the online transfer. A 5% withdrawal fee or a minimum of RM50 (whichever is higher) is chargeable for each withdrawal.
- 4.4. WeManage reserves the right to adjust transaction fees without any prior notice to the Customer.
Refund Policy
1. Refund and Cancellation Policy
- 1.1. After the subscription has commenced and payment has transacted, the subscription is not refundable or transferable.
- 1.2. Customers who subscribe to the monthly payment can terminate one or multiple solution subscriptions at any time. The service and billing will end on the next billing date. The customer can find the billing date under the subscription menu.
2. Termination / Access Restriction
- 2.1. WeManage reserves the right to suspend and/or terminate services rendered to default customers who fail to fulfil any outstanding payment or who violate the terms of use stated in this policy.
- 2.2. You agree that WeManage shall not be liable to you or any third party for any suspension or termination of your access to the Website.
3. Proprietary Rights
- 3.1. All trademarks used on the website are V-Work Sdn Bhd's (‘WeManage’) trademarks. You shall not use the trademarks, whether design or word marks: (1) as or as part of your own trademarks; (2) in a manner which is likely to confuse; (3) to identify products to which they do not relate; (4) to imply endorsement or otherwise of products or services to which they do not relate; or (5) in any manner which does or may cause damage to WeManage’s reputation or its trademarks.
- 3.2. You acknowledge and agree that the website or any part thereof, whether presented by WeManage, advertisers, or any third party, is protected by copyrights, trademarks, service marks, patents, or other proprietary rights and laws. All rights are expressly reserved.
- 3.3. You can only use the website as set out in these Terms and Conditions. Nothing on the websites shall be construed as conferring any license or other transfer of rights to you of any intellectual property or WeManage’s proprietary rights.
4. Disclaimer & Limitation of Liability
- 4.1. WeManage makes no warranty or guarantees that the website will meet your requirements or that the website will be secure, timely, uninterrupted, or error-free, or that any data, content, information, software, or other material accessible on or through the website will be free of viruses or other harmful components. Website usage is at your own risk, and you are solely responsible for all damages.
- 4.2. To the maximum extent permitted by applicable law, WeManage disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement to the website and transactions performed through the Internet generally. WeManage makes no representations or warranties regarding the quality of the call or any connection to or transmission over the Internet.
- 4.3. To the fullest extent permitted by applicable law, under no circumstances, including, but not limited to, negligence, shall WeManage be liable for any direct, indirect, incidental, special or consequential damages, damages for loss of profits (even if WeManage has been advised of the possibility of such damages or even if such damage is foreseeable), that result from the use of or the inability to use the website, any changes to the website and unauthorized access to or alteration of your transmissions or data, any communication, transmission, material or data sent or received or not sent or received, or any transactions entered into through the website or arising in connection with the fraudulent or unlawful acts of any third party.
- 4.4. You specifically agree that WeManage is not responsible or liable for any threatening, defamatory, obscene, offensive, or illegal content or conduct of any other party or any infringement of another's rights, including intellectual property rights.
- 4.5. If you are dissatisfied with the website, you agree that your sole and exclusive remedy is to discontinue using the website.
- 4.6. WeManage will take reasonable measures to maintain the privacy and security of all private information you provide to the website. Still, third parties (such as hackers) may breach or attempt to breach WeManage's security measures or may gain unauthorized access to the database or other equipment containing your information. You agree that WeManage shall not be liable for damages of any sort, whether arising under contract, tort, or otherwise, with respect to any breach of security of the website or any other company equipment or user information.
- 4.7. The content of the pages of this website is for your general information and use only. It is subject to change without notice. Accuracy and validity of any content published or posted by users are not verified or guaranteed by WeManage.
- 4.8. Your use of any information or materials on this website is entirely at your own risk, for which we shall not be liable. It shall be your own responsibility to ensure that any services or information available through this website meet your specific requirements.
5. Indemnity
- 5.1. You agree to indemnify, defend and hold WeManage, its officers, directors, employees, agents, shareholders and any third party information providers to the website harmless from and against all losses, expenses, damages and costs, including solicitors’ fees, resulting from any violation by you of this terms and conditions or asserted by any third party due to or arising out of your use of or conduct on the website.
- 5.2. The provisions of this paragraph are for the benefit of WeManage and its officers, directors, employees, agents, and shareholders with respect to the website. Each individual or entity shall have the right to assert and enforce these provisions directly against you on its own behalf.

- 6.1. The website may contain links to third-party websites ("Linked Websites"). These links are provided for your convenience to provide further information. They do not signify that we endorse the Linked Website(s). We have no control over the content if the Linked Website is not working appropriately.
- 6.2. WeManage shall not be responsible for the advertisement, including, without limitation, any link contained in a Linked Website, and does not endorse any content, advertising, products, or other materials on or available from such websites or resources. You are responsible for viewing and abiding by the privacy statements and terms of use posted at the Linked Websites, and for taking precautions to ensure that whatever you select for your use is free of viruses, worms, Trojan horses, and other items of a destructive nature.
- 6.3. WeManage assumes no responsibility for and does not endorse, unless expressly stated, content created or published by third parties included in the Linked Websites and the services or which may be linked to and from the Linked Websites.
- 6.4. Any dealings with third parties (including advertisers) over the Linked Websites or participation in promotions, including the delivery of and the payment for goods and services, and any other terms, conditions, warranties or representations associated with such dealings or promotions, are solely between you and the advertiser, merchant or other third party.
- 6.5. You agree that WeManage shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods, or services available on or through any such website or resource. The purchase of any product or service from a merchant on a Linked Website is a transaction solely between you and that merchant, and any question or dispute you may have regarding any such product or service should be addressed directly to the merchant responsible. WeManage has no responsibility or liability for any merchant or your relationship with such merchant.
Privacy Policy

1. Personal Data and Privacy Policy

1.1. Regarding information sharing, WeManage will only share the personal information gathered with other companies or individuals outside of the organization in the following limited circumstances:
- 1.1.1. We have your consent;
- 1.1.2. We provide such information to our subsidiaries, affiliated companies, or other government agencies (including but not limited to the local authorities) or people for processing/confirming the personal information on our behalf. We require that these parties agree to process such information based on our instructions and in compliance with this Privacy Policy and any other appropriate confidentiality and security measures;

1.2. The Processing of Personal Data

1.2.1. User Data
- 1.2.1.1. WeManage collects users’ names, email addresses, and contact details to create accounts, authenticate users, send notifications, and access system features.
- 1.2.1.2. This data is provided directly by users through registration forms or entered by authorized System Admins on their behalf. Where the client’s administrator submits data, it is their responsibility to obtain prior consent from the user.

1.2.2. Vendor Data
- 1.2.2.1. WeManage collects the names, identification details, and contact information of vendor company shareholders and directors to support the registration and verification of vendor profiles.
- 1.2.2.2. Authorized company representatives typically submit this information. The submitting party is responsible for obtaining prior consent from the individuals whose personal data is provided.

1.3. Data Retention
- 1.3.1. WeManage will retain personal data only for as long as necessary to fulfill the purposes for which it was collected. Once the data is no longer required, it will be securely deleted or anonymized under the Retention Principle under Malaysia’s PDPA.
- 1.3.2. Upon termination of subscription, WeManage will retain personal data for up to 7 years, or upon request for deletion by the subscription’s System Admin, whichever comes first.

1.4. Information Security
- 1.4.1. WeManage takes appropriate security measures to protect against unauthorised access to or unauthorised alteration, disclosure, or destruction of data. These include internal reviews of our data collection, storage, and processing practices and security measures, including appropriate encryption and physical security measures to guard against unauthorised access to systems where we store personal data.
- 1.4.2. We restrict access to personal information to WeManage’s employees, contractors and third parties who need to know that information in order to process it on our behalf. Confidentiality obligations bind these entities and may be subject to discipline, including termination and criminal prosecution, if they fail to meet these obligations.

1.5. Enforcement
- 1.5.1. WeManage regularly reviews its compliance with this Privacy Policy. When WeManage receives formal written complaints, our policy is to contact the complaining user regarding his or her concerns.
- 1.5.2. WeManage will cooperate with the appropriate regulatory authorities, including data protection authorities, to resolve any complaints regarding transferring personal data that cannot be resolved between WeManage and an individual or organisation.

2. Data Protection Officer
- 2.1. WeManage has appointed a Data Protection Officer (DPO) to oversee compliance with the Personal Data Protection Act (PDPA).
- 2.2. Individuals may contact our DPO by emailing support@wemanage.cloud for any inquiries or concerns regarding personal data handling and protection.
3. Data Breach Notification
- 3.1. WeManage will notify affected individuals within 7 days of a personal data breach that is likely to result in significant harm.
4. Data Subject Rights
- 4.1. Users have the right to access their personal data held by WeManage, request corrections to inaccurate data, and withdraw consent for data processing. However, as each organization's designated System Admins manage personal data within the WeManage system, users should contact their respective System Admins to exercise these rights.
- 4.2. System Admins are responsible for handling data access, correction, and consent withdrawal under PDPA requirements.
- 4.3. WeManage may directly manage individual user data in order to facilitate subscription termination and support case handling. In such cases, System Admins may contact support@wemanage.cloud.
5. Third-Party Personal Data Responsibility
- 5.1. If users input personal data on behalf of other individuals, they are responsible for obtaining the necessary consent from those individuals prior to submission. Users are also responsible for ensuring that such personal data is accurate and up-to-date, and for making any amendments or deletions as required by the data subjects. WeManage shall not be held liable for any failure by users to obtain consent or to manage third-party personal data under the Personal Data Protection Act (PDPA).
6. Cross-Border Data Transfer
- 6.1. WeManage may transfer personal data to jurisdictions outside Malaysia for processing and storage.
- 6.2. Such transfers will comply with PDPA, ensuring that the receiving party provides a level of protection equivalent to that under Malaysian law.
7. Copyright
- 7.1. This website and its contents are copyrighted by V-Work Sdn Bhd. All rights reserved.
8. Severability
- 8.1. The Terms and Conditions are severable in that if any provision is determined to be illegal or unenforceable by a court of competent jurisdiction, it shall be deemed to have been deleted without affecting the remaining provisions of these Terms and Conditions.
9. Waiver
- 9.1. WeManage's failure to exercise any particular right or provision of these Terms and Conditions shall not constitute a waiver of such right or provision unless acknowledged and agreed to by WeManage in writing.
10. Governing Law
- 10.1. Your use of this website and the operation of the terms and conditions contained herein shall be governed in accordance with the laws of Malaysia. Any dispute arising out of or in relation to this website, including these terms and conditions, shall be subject to the exclusive jurisdiction of the Malaysian courts.
- 10.2. In the event of any differences in interpretation between the English and Bahasa Malaysia versions of this Privacy Policy, the English version shall prevail.
